This limitation applies regardless of the number of claims or the form of action.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Danish or EU law.

9. Indemnification

10. Force Majeure

Gap Ejendomme ApS shall not be held liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, epidemics or pandemics, government actions or sanctions, internet or telecommunications failures, cyberattacks, cloud infrastructure outages, power disruptions, strikes, or civil unrest. During any such event, our obligations shall be suspended for the duration of the force majeure condition.

11. International Use

The Website is operated from Denmark, with educational services offered primarily to participants throughout Canada. We make no representation that the Website, its content, or our services are appropriate, lawful, or available for use in all jurisdictions. Users who access the Website from locations outside Denmark or Canada do so at their own initiative and are responsible for compliance with all applicable local laws. 12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Denmark, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Denmark, specifically the City Court of Roskilde (Retten i Roskilde).

If you are a consumer resident in the European Union, you retain any mandatory consumer protection rights afforded to you under the laws of your country of residence. Nothing in these Terms affects your statutory rights as a consumer under applicable EU or member state law.

13. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms informally by contacting us at [email protected]. We will endeavour to resolve the matter within thirty (30) calendar days of receiving your written notice. If the dispute cannot be resolved informally within this period, either party may proceed with formal proceedings in accordance with the governing law and jurisdiction provisions stated above.

Consumers resident in the European Union may bring proceedings in the courts of their country of residence in accordance with applicable consumer protection legislation.

14. Termination

We reserve the right to suspend or terminate your access to the Website and our services, in whole or in part, at any time, with or without cause, and with or without notice, if we reasonably believe that you have violated these Terms or engaged in conduct that is harmful to other users, our business interests, or third parties. Upon termination, the following provisions of these Terms shall survive and remain in full force and effect: Intellectual Property (Section 5), Disclaimer of Warranties (Section 7), Limitation of Liability (Section 8), Indemnification (Section 9), Governing Law and Jurisdiction (Section 12), and any other provisions which by their nature should survive termination.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties as closely as possible.

16. Entire Agreement

These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and Gap Ejendomme ApS with respect to your use of the Website and supersede all prior or contemporaneous communications, proposals, representations, understandings, and agreements, whether written or oral, relating to the subject matter hereof.

Any waiver must be in writing and signed by an authorised representative of Gap Ejendomme ApS to be effective.
